In-house Legal Counsel

Role Purpose:

As Impero continues to expand we are establishing a Legal function. As the leader of this function, you will report directly into the Chief Executive Officer. This role will play a fundamental role in building and shaping the commercial contract systems, general compliance, and legal processes across the business.

You’ll work closely with all key stakeholders in negotiating and documenting contracts with customers, partners, and suppliers. In addition, you will be responsible for the creation of a contract management process and become the central point of contact for all commercial legal matters arising within the business.

Role Responsibilities –

Contracts/ Commercial

  • Be central to all commercial contract negotiations
  • Write and maintain terms and conditions, EULA, NDAs and other applicable contracts
  • Work closely with the product and sales teams to review expansion requirements by geography
  • Liaise with external legal counsel as required to represent the best interests of the company
  • Support the Exec Team in contractual risk management
  • Develop processes and procedures including implementation of necessary contract management systems
  • Demonstrate the company values
  • Map and out and maintain a supplier management system
  • Ad hoc projects as required

Data Protection Officer

  • Registered Data Protection Officer with the ICO for all Impero entities which process personal data
  • Registered Data Protection Officer for a variety of schools using our GDPR service, answer any questions from these schools which are raised either directly or via the support desk. Carry out data audits for these customers
  • Create and maintain the appropriate policies to ensure compliance with UK, US, EU and global data protection laws
  • Write and review Data Processing Addendums, contractual clauses and further requirements from customers as needed
  • Carry out training for our global workforce to ensure data protection and cyber security awareness is embedded across the business and we comply with our GDPR obligations
  • Carry out DPIAs for our products, and to inform our customers
  • Maintain a Records of Processing Activity for our organisation
  • Answer questions on data protection, and cyber security compliance which are both internal and customer related
  • Handle and coordinate any reported data breaches, security incidents, and subject rights requests
  • Be a central point of contact on all other data protection and cyber security matters

Corporate Governance

  • Maintain all company books on a central register, accessible to the ExCo and Board Members
  • Ensure compliance with the Companies Act in all company matters, ensuring that all records are kept up to date
  • Keep a record and maintain all global Impero entities

Compliance

  • Maintain all trademarks and patents for Impero and its subsidiaries
  • Manage any IP queries, disputes and applications
  • Ensure legal compliance across the business through regular research and coordination with our engineering, product, finance, sales, marketing teams
  • Coordinate and maintain ISO27001 and ISO9001 standards across the business, from all policies and documents required, to ensuring awareness and understanding through training, and formal implementation. Ensure the management team are well informed of all initiatives and set up the processes required to ensure we are compliant with the standards.
  • Work closely with the IT and Infrastructure teams to ensure that all ISO27001 standards are adhered to internally and within our products
  • Coordinate the ISAE SOC1 and SOC2 standards
  • Aid in completing penetration testing on our products and ensure this is done annually

Manage the Legal and Compliance Assistant, to ensure they have the appropriate workload and knowledge to complete their job.

Required skills/experience/qualifications:

  • Experience within the technology industry, preferably in relation to commercial contracts, data protection and intellectual property
  • Comfortable working in a fast-paced and evolving environment with internal customers in multiple time zones
  • Hands-on in approach with an interest in the detail
  • Gravitas and impactful, comfortable challenging others and being challenged back
  • Excellent communication and expectation management skills
  • Good team player
  • Sharp intellect with a strategic mindset
  • Flexibility to commute to our Nottingham office as required etc.
  • Must hold minimum of a degree in an appropriate legal subject such as Bachelors in Law with a minimum of 2 years commercial experience.

This is a full-time, permanent role and will be based in the UK.
